WATCHCLIPS – TERMS AND CONDITIONS

1.1 Eligibility

You must be at least 13 years of age (or the age of majority in your jurisdiction) to use the Service. If you are under the relevant age, you may only use the Service under the supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf.

1.2 Acceptance of Terms

By registering an account, logging in (including via Apple or Google login), uploading content, purchasing a subscription, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and any additional guidelines referenced herein (such as our Privacy Policy).

1.3 Modifications

We reserve the right to modify or update these Terms at any time. In the event of material changes, we will provide notice through reasonable means (e.g., posting on our website, sending an email). Your continued use of the Service after any modifications become effective constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service.

2.1 Service Description

WatchClips provides a platform where you can:

• Upload your own video files (subject to size, format, and storage limitations).
• Access and manage an online library of your uploaded videos.
• Use a code or login to sync your videos with an Apple Watch or other devices.
• Stream or download uploaded videos for offline viewing, subject to your subscription plan and storage limits.

2.2 No Guarantee of Availability

We do not guarantee that the Service will be uninterrupted, secure, or error-free at all times. We may modify, suspend, or discontinue all or part of the Service at any time, with or without notice. We will not be liable to you or any third party for any such modification, suspension, or discontinuation.

2.3 Third-Party Services

Our Service may rely on or interact with third-party services (e.g., Apple, Google, payment processors). We are not responsible for the functionality, reliability, or security of any third-party services, nor are we liable for any losses or damages caused by your use of such third-party services or your reliance on their privacy, data handling, or other practices.

3.1 Account Creation

To access certain features of the Service, you may be required to create an account or log in using Apple or Google. You agree to provide accurate, current, and complete information and to keep such information updated. You are responsible for any activity that occurs under your account, including maintaining the confidentiality of your login credentials.

3.2 Access Codes & Passwords

We may provide an access code for syncing videos with your Apple Watch or other devices. You are solely responsible for safeguarding any code or password issued to you. Immediately notify us if you suspect any unauthorized use of your account, login credentials, or codes.

3.3 Termination or Suspension

We may suspend or terminate your account or deny you access to the Service at our sole discretion, for any reason including (but not limited to) if we believe you have violated these Terms or engaged in any activity that could harm us or other users. We will not be liable for any losses incurred as a result of suspension or termination.

4.1 Ownership & Responsibility

You retain all rights to the video files or other media you upload (“User Content”). By uploading User Content, you represent and warrant that you have all necessary rights, licenses, and permissions to do so and that your User Content does not infringe upon any third-party rights or violate any laws.

4.2 License to WatchClips

You grant us a worldwide, non-exclusive, royalty-free license to store, transmit, display, and process your User Content solely for the purpose of providing the Service. This license will terminate when you or we remove your User Content from the Service (unless such removal is restricted by applicable law or a valid court order).

4.3 Content Restrictions

You agree not to upload or share any User Content that:

• Infringes upon any third-party copyright, trademark, patent, or other intellectual property rights.
• Contains unlawful, obscene, defamatory, hateful, harassing, or otherwise objectionable material.
• Contains viruses, malware, or any other harmful code designed to disrupt or limit the functionality of any device or system.

4.4 Removal of Content

We may remove or restrict access to any User Content at our discretion if we believe it violates these Terms, infringes on any third-party rights, or otherwise poses a risk to the Service or other users. We assume no liability for the removal of or failure to remove User Content.

5.1 Our IP

All trademarks, service marks, logos, trade names, and other distinctive brand features associated with the Service (“WatchClips Marks”), as well as the software, code, and underlying infrastructure, are the exclusive property of WatchClips or its licensors. Except as expressly permitted by these Terms, you may not copy, modify, distribute, create derivative works of, or otherwise exploit our intellectual property without our prior written consent.

5.2 No Transfer of Ownership

Nothing in these Terms transfers any ownership or license of our intellectual property to you, except for the limited, non-exclusive, revocable right to use the Service for your personal use in compliance with these Terms.

6.1 Subscription Plans

We may offer monthly or other recurring subscription plans that provide additional features or storage capacity. By selecting a subscription plan, you authorize us (or our third-party payment processor) to charge the applicable subscription fees to the payment method you provide.

6.2 Payment Information

You agree to provide accurate and up-to-date billing information. If your payment method fails or is declined, we may suspend or terminate your access to the subscription services. You are responsible for any fees or penalties charged by your bank or payment provider.

6.3 Refunds & Cancellations

We will communicate our refund and cancellation policy at the time of purchase or on our website. If you wish to cancel your subscription, you must do so before the next billing cycle to avoid being charged. Unless otherwise stated, subscription fees are non-refundable and non-transferable.

6.4 Automatic Renewal & Price Changes

Unless you cancel your subscription, it will automatically renew at the end of each billing cycle. We may adjust subscription fees in the future and will notify you in advance of any price changes. If you do not agree to the new fees, you must cancel your subscription before the new rate takes effect.

From time to time, we may offer or test certain new or experimental features (“Beta Features”). Beta Features are provided on an “as is” basis without any warranty of any kind and may be discontinued or modified at any time without notice. Your use of any Beta Feature is at your own risk, and we disclaim all liability associated with it.

WatchClips is an independent product and is not affiliated with, endorsed by, or sponsored by Apple Inc. or Google LLC. References to Apple Watch, iOS, or Google services are provided for compatibility and informational purposes only.

9.1 As-Is & As-Available Basis

To the fullest extent permitted by law, the Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied. We disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements or that it will be uninterrupted, timely, secure, or error-free.

10.1 Exclusion of Certain Damages

To the fullest extent permitted by law, in no event shall WatchClips, its officers, directors, employees, agents, affiliates, or licensors be liable for any indirect, incidental, special, consequential, or exemplary damages, including (but not limited to) damages for loss of profits, goodwill, use, data, or other intangible losses arising out of or related to your use of, or inability to use, the Service.

10.2 Limitation of Aggregate Liability

In no event shall our total liability to you for all claims arising from or relating to these Terms or the Service exceed the amount you paid us (if any) for accessing the Service in the twelve (12) months preceding the claim.

11.1 Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless WatchClips and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (i) your breach of these Terms; (ii) your User Content; (iii) your misuse of the Service; or (iv) your violation of any law or the rights of any third party.

12.1 Governing Law

These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation shall be governed by, and construed in accordance with, the laws of England and Wales.

12.2 Jurisdiction

The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms, unless otherwise required by applicable consumer protection laws.

13.1 Informal Resolution

We encourage you to contact us first to seek resolution of any dispute before initiating any formal proceedings. We will make reasonable efforts to resolve the dispute internally and amicably.

13.2 Mediation or ADR

If we cannot resolve the dispute informally, either party may suggest mediation or an alternative dispute resolution (“ADR”) procedure as an alternative to litigation. This does not remove either party’s right to initiate court proceedings if an acceptable resolution cannot be reached.

If you believe that any User Content on the Service infringes your intellectual property rights, please send a notice to support@watchclips.app with:

• A physical or electronic signature of the person authorized to act on behalf of the rights holder.
• Identification of the work claimed to be infringed and identification of the material that is claimed to be infringing, with enough detail for us to locate it on the Service.
• Your contact information (address, telephone number, email).
• A statement that you have a good faith belief that the disputed use is not authorized by the rights holder, its agent, or the law.
• A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the rights holder.

We reserve the right to remove or disable access to allegedly infringing material and to terminate the accounts of repeat infringers, at our sole discretion and in compliance with applicable laws.

The Service is not designed for use in hazardous or mission-critical environments, including but not limited to medical, emergency, life-saving, or other critical operations. We disclaim all liability for any damages arising from unauthorized or critical use of the Service.

You are responsible for complying with all local laws in your jurisdiction, including data protection, privacy, consumer protection, and export control laws. We make no representation that the Service is appropriate or available for use in any particular jurisdiction. If you choose to access the Service, you do so on your own initiative and are responsible for compliance with all applicable laws.

17.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional guidelines incorporated by reference, constitute the entire agreement between you and WatchClips regarding your use of the Service. They supersede all prior or contemporaneous communications, whether electronic, oral, or written, between you and WatchClips.

17.2 Severability

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. The remaining provisions will continue in full force and effect.

17.3 Waiver

Any failure by us to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing.

17.4 Force Majeure

We shall not be liable for any delay or failure to perform our obligations under these Terms if such delay or failure is caused by an event beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, governmental regulations, labor conditions, power failures, internet disturbances, or pandemics.

17.5 Assignment

You may not assign or transfer these Terms or your rights or obligations hereunder, without our prior written consent. We may assign or transfer our rights and obligations under these Terms at any time without restriction.
